CySEC Orders Liquidation of Fund and Suspends Shareholder Rights at Octa Markets Cyprus

The Cyprus Securities and Exchange Commission (CySEC) has announced the dissolution and liquidation of Wanterfell Investment AIFLNP V.C.I.C. Ltd following the complete redemption of all its units.

The fund, which operated as an Alternative Investment Fund with a Limited Number of Persons (AIFLNP) under License Number LPAIF123/2014, was dissolved in accordance with article 132(1)(d) of the Alternative Investment Funds Law of 2018.


According to the regulator, the external manager of the fund, T.C.R. International Ltd, notified CySEC of the decision in line with the requirements of article 63(8) of the law.


CySEC further confirmed that the fund had entered voluntary liquidation.


In a separate statement, CySEC revealed that it had taken action against Octa Markets Cyprus Ltd after reviewing the role of its ultimate beneficial owner, Pavel Prozorov. The Commission concluded that Prozorov’s influence was “prejudicial to the sound and prudent management of the company.”

The decision was reached during a board meeting on August 25, 2025, and was made under article 11(3) of the Investment Services and Activities and Regulated Markets Law, also known as Law 87(I)/2017.


As a result, CySEC has suspended the voting rights attached to the shares of Octa Markets Cyprus Ltd held by Prozorov, which amount to 95 percent of the company’s total shareholding. In addition, the regulator barred Prozorov from performing management duties as a member of the company’s board of directors.


CySEC emphasized that these measures took effect immediately.
