Alpha Bank increases share capital to €654.35 million following employee stock options
Alpha Bank has increased its share capital to €654.35 million following the exercise of employee stock options in September 2026, bringing the total number of ordinary shares carrying voting rights to 2,256,383,615.

The Greek lender’s revised capital structure was confirmed in a corporate announcement published this week, following a share capital increase approved by its board of directors on September 30, 2026, and subsequently registered with the General Commercial Register on October 13.
The increase was carried out under the bank’s stock option programme, which allows eligible participants to exercise options granted to them in accordance with the programme’s terms.
The latest adjustment reflects the exercise of those options during the September 2026 exercise period.
New share capital and voting rights
Following the increase, Alpha Bank’s share capital stands at precisely €654,351,248.35, divided into 2,256,383,615 ordinary shares, each with a nominal value of €0.29.
All the shares carry voting rights, giving investors a clear basis for calculating their proportional ownership and voting interests in the bank. The shares are registered and dematerialised, meaning they are recorded electronically rather than represented by physical share certificates.
The revised figures establish the bank’s updated share capital and total voting rights following the stock option exercise. These figures are relevant to existing shareholders, prospective investors and other holders of voting rights who need to assess their holdings against the bank’s overall capital base.
Purpose of the announcement
Alpha Bank said the disclosure was intended to facilitate the calculation of the thresholds that trigger reporting obligations when shareholders or holders of voting rights acquire or dispose of significant shareholdings.
The announcement was made in accordance with Article 9, paragraph 5, of Greek Law 3556/2007, which governs transparency requirements relating to significant holdings in financial markets. The provision requires companies to disclose changes in their share capital and voting rights so that investors can determine whether transactions have caused their holdings to cross the relevant notification thresholds.
By publishing the updated figures, the bank provides shareholders and other investors with the information needed to calculate their ownership percentages against the revised total number of voting shares. This is important for monitoring compliance with disclosure requirements when buying or selling shares changes an investor’s proportionate stake.
New shares enter trading
The increase also follows the listing of new Alpha Bank shares issued through the stock option programme. Euronext Athens announced on October 15 that 140,300 new ordinary shares would begin trading on Monday, October 19, 2026, following the capital increase resulting from the exercise of stock option rights.
The listing provides a market-related milestone in the implementation of the programme, through which eligible participants acquired shares under the bank’s established arrangements.
Implications for shareholders
The increase in share capital stems from the exercise of stock options rather than a separately announced capital-raising transaction. Its immediate significance is the adjustment of the bank’s capital structure and the total number of shares carrying voting rights.
For shareholders, the updated share count is an important reference point when calculating ownership percentages and determining whether acquisitions or disposals require regulatory notification. The nominal value of €0.29 per share, meanwhile, represents the assigned face value of each share in the bank’s capital structure; it should not be confused with the share’s market trading price.
The bank’s announcement therefore serves both as a formal record of the completed capital increase and as a transparency measure for investors operating under Greece’s financial-market disclosure framework.
With share capital now standing at €654.35 million and the number of voting shares exceeding 2.25 billion, Alpha Bank has formally updated its corporate capital figures following the September exercise of employee stock options.
